Important: Please read these Terms of Service ("Terms") carefully before using Wavelify. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

1. Agreement to Terms

By accessing or using Wavelify ("Service," "Platform," or "we," "us," "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.

These Terms constitute a legally binding agreement between you and Wavelify Inc, a company incorporated in the State of Texas, United States of America.

2. Description of Service

Wavelify provides a cloud-based Customer Relationship Management (CRM) and business management platform that includes, but is not limited to:

Customer and contact management
Quote and invoice generation
Project and task management
Expense tracking and reporting
Timesheet and labor management
Document storage and management
Real-time communication features
Reporting and analytics

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You agree to:

Create a strong, unique password
Not share your account credentials with any third party
Immediately notify us of any unauthorized access or security breach
Accept responsibility for all activities that occur under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct that we determine, in our sole discretion, to be harmful to our Service or other users.

4. Subscription and Payment Terms

4.1 Subscription Plans

Wavelify offers various subscription plans with different features and pricing. The specific terms of your subscription will be presented to you during the sign-up process.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

4.3 Billing and Payment

All payments are processed securely through our payment processor (Stripe)
Subscription fees are billed in advance on a monthly or annual basis
All fees are non-refundable except as expressly stated in these Terms
You authorize us to charge your payment method for all applicable fees

4.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of the next billing cycle.

5. Acceptable Use Policy

You agree NOT to use the Service to:

Violate any applicable federal, state, local, or international law or regulation
Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable
Impersonate any person or entity, or falsely state or misrepresent your affiliation
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service
Use the Service for any illegal purpose or to promote illegal activities
Harvest or collect user information without consent
Transmit viruses, malware, or other malicious code
Use automated systems or software to extract data from the Service (scraping)
Resell, sublicense, or otherwise commercially exploit the Service without authorization

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Wavelify Inc and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

6.2 Your Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to you.

7. Data Protection and Privacy

We process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WAVELIFY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wavelify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Your access to or use of the Service
Your violation of these Terms
Your violation of any third-party right, including intellectual property or privacy rights
Any claim that your User Content caused damage to a third party

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Houston, Texas.

11.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. DMCA and Copyright Policy

We respect intellectual property rights and expect our users to do the same. If you believe that your copyrighted work has been used in a way that constitutes infringement, please contact us with:

A description of the copyrighted work claimed to have been infringed
Identification of the material that is claimed to be infringing
Your contact information
A statement of good faith belief that the use is not authorized
A statement, under penalty of perjury, that the information is accurate

13. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade sanctions maintained by the Office of Foreign Assets Control (OFAC).

We reserve the right to modify these Terms at any time. We will notify you of any changes by:

Posting the new Terms on this page
Updating the "Last Updated" date
Sending you an email notification for material changes

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Wavelify regarding your use of the Service.
